Terms of Service.

1Eligibility

You must be at least 18 years old and legally able to enter into a contract to use the Services. You represent that you are not barred from receiving the Services under the laws of your jurisdiction, and that you will use the Services only for lawful purposes and in compliance with these Terms.

2What the Services Are — and Are Not

MXT ALGOS provides charting indicators and tools, discretionary decision-support models, and educational research for futures and other markets.

The Services are informational and educational only.

• Nothing we provide is personalized investment, trading, financial, legal, or tax advice, and nothing is a recommendation or solicitation to buy or sell any security, futures contract, or other instrument.
• We are not a broker-dealer, futures commission merchant, commodity trading advisor, commodity pool operator, investment adviser, or financial planner, and we do not manage accounts or execute trades on your behalf.
• Our tools and models are decision-support. They do not trade for you. Every trading decision, entry, exit, and risk choice is yours alone, and you are solely responsible for it.
• You should consult a licensed professional before making any financial decision.

3Risk Disclosure & No Performance Guarantee

• Past performance is not indicative of future results. No result, testimonial, or research figure is a promise or guarantee of future performance or profit.
• Any equity curves, backtests, or figures we display are hypothetical and/or simulated and have inherent limitations. Hypothetical results are generally prepared with the benefit of hindsight, do not involve financial risk, and no representation is made that any account will or is likely to achieve similar results. • We make no representation or warranty as to any win rate, profitability, or trading outcome. Individual results vary. You trade at your own risk.

4Accounts

You may need to register for an account, and to access certain products through third-party platforms (such as TradingView and Discord). You agree to provide accurate information, to keep your credentials secure, and to be responsible for all activity under your account. One account and one authorized user per subscription unless we agree otherwise in writing. Notify us promptly of any unauthorized use.

5Subscriptions, Billing & Cancellation

• Plans & billing. Paid plans are billed on a recurring basis (monthly or quarterly) or as a one-time payment (lifetime), as shown at checkout, and automatically renew until cancelled. You authorize us and our commerce provider, Whop (and its payment processor), to charge your payment method for each billing period.
• Cancellation. You may cancel a recurring plan at any time; cancellation takes effect at the end of the current billing period, and you retain access until then. Cancel any time through your Whop account.
• Refunds. [State your refund policy here — e.g., “All sales are final and non-refundable, except where required by law,” or a specific money-back window.]
• Price changes. We may change prices for future billing periods with reasonable notice. Lifetime purchases are a one-time payment for the plan as described at the time of purchase.
• Founder offer. The founder promotion (first 50 members receive 50% off their first month) applies only to the first 50 eligible sign-ups, to the first month of a paid plan, one per customer, is not combinable with other offers, and applies when paid checkout opens. Final terms are those shown at checkout.
• Taxes. Prices exclude applicable taxes, which are your responsibility.

6License & Intellectual Property

All indicators, scripts, models, software, text, graphics, research, and other content in the Services are owned by MXT ALGOS or its licensors and are protected by intellectual-property laws. Subject to these Terms and your active subscription, we grant you a limited, personal, non-exclusive, non-transferable, revocable license to access and use the products for your own trading. You may not:

• copy, redistribute, resell, sublicense, lease, or share access to any product, script, or content;
• share, publish, or transfer your account or product access to any other person;
• reverse-engineer, decompile, extract, or attempt to derive the source or logic of any indicator or model;
• use the Services to build a competing product, or scrape or harvest content or data.

Access is delivered through third-party platforms (e.g., TradingView invite-only scripts). Your license ends when your subscription ends or these Terms are terminated.

7Community & User Content

If you post in our community (e.g., Discord) or submit content, you keep ownership of your content but grant us a non-exclusive, worldwide, royalty-free license to display and use it in connection with the Services. You are responsible for what you post. You agree not to post doctored screenshots, invented track records, unlawful content, spam, or anyone’s personal information, and not to give investment advice to others. Nothing any member posts is advice from MXT ALGOS. We may moderate, remove content, or remove members at our discretion.

8Acceptable Use

You agree not to misuse the Services, including by breaking any law, infringing others’ rights, interfering with or attacking the Services, attempting unauthorized access, or using the Services in a way that could harm MXT ALGOS or other users.

9Third-Party Services

The Services rely on third parties, including TradingView, Discord, and Whop (our commerce and access-management provider). Your use of those platforms is governed by their own terms and privacy policies, and we are not responsible for them. We are not affiliated with or endorsed by TradingView, Discord, or Whop.

10Disclaimer of Warranties

The Services are provided “as is” and “as available,” without warranties of any kind, express or implied, including merchantability, fitness for a particular purpose, non-infringement, accuracy, or that the Services will be uninterrupted, error-free, or that any indicator or model will perform as expected or be profitable. You use the Services at your own risk.

11Limitation of Liability

To the maximum extent permitted by law, MXT ALGOS and its owners, officers, and affiliates will not be liable for any trading or investment losses, or for any indirect, incidental, special, consequential, or punitive damages, arising out of or related to the Services. Our total aggregate liability for any claim will not exceed the amount you paid us for the Services in the [three (3) / twelve (12)] months before the claim. Some jurisdictions do not allow certain limitations, so some of these may not apply to you.

12Indemnification

You agree to indemnify and hold harmless MXT ALGOS from any claims, losses, liabilities, and expenses (including reasonable legal fees) arising out of your use of the Services, your content, your trading decisions, or your breach of these Terms.

13Termination

We may suspend or terminate your access at any time, with or without notice, for any reason, including breach of these Terms. You may stop using the Services at any time. Sections that by their nature should survive termination (including IP, disclaimers, limitation of liability, and indemnification) will survive.

14Changes to These Terms

We may update these Terms from time to time. We will post the updated Terms with a new “Last updated” date, and material changes will be communicated as reasonably appropriate. Continuing to use the Services after changes take effect means you accept the updated Terms.

15Governing Law & Disputes

These Terms are governed by the laws of the [State of ______], United States, without regard to conflict-of-laws rules. [Dispute-resolution clause to be set by counsel — e.g., binding arbitration and venue, and any class-action waiver.] If any provision is found unenforceable, the rest remains in effect. These Terms, together with our Privacy Policy, are the entire agreement between you and MXT ALGOS regarding the Services.
